Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website www.cansulthub.com (the "Site") and any consulting, advisory, educational, or related services offered by Canada Consulting Hub Inc., operating as CansultHub ("CansultHub," "we," "us," or "our"), a company registered in British Columbia, Canada, with a registered office at Suite 1300, 1500 West Georgia St, Vancouver, BC. By accessing the Site, submitting an inquiry, booking a consultation, or engaging any CansultHub service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site or our services.

CansultHub provides business consulting, advisory, and related services organized into the following packages, each described in full on its respective Site page:

• Business Lab: business planning, corporate structuring, and operational advisory
• Startup Accelerator: structured incubation and accelerator programming for early-stage founders
• Job Finder: recruitment and career placement services, including the ProfPath and TalentBridge programs
• Capital Connect: capital-introduction and deal-facilitation advisory for cross-border investment
• Learning Pod: courses and skill-development programming, including ImmiAgent and AI Biz Essential
• Advisory Panel: referral access to independent third-party professionals (legal, financial, and impact/ESG advisors)

The scope, deliverables, and timeline for any engagement will be set out separately in a written proposal, engagement letter, or service agreement between you and CansultHub. That agreement will govern if it conflicts with these general Terms.

Our services are intended for individuals who are at least 18 years old and for businesses, founders, and organizations acting in a commercial capacity. By using the Site or engaging our services, you represent that you meet this requirement and that any information you provide to us is accurate and complete. The one exception is Startup Accelerator's YoungFounders Incubator, which is open to youth entrepreneurs aged 15–19 under a separate enrolment process requiring verified parent or guardian consent.

General advisory, not licensed professional advice. Except where a specific service is expressly identified below as being delivered by a licensed professional, CansultHub's services are business and strategic advisory in nature. Nothing on the Site or provided through our services constitutes legal, immigration, tax, accounting, or investment advice, and no advisor-client, attorney-client, or fiduciary relationship is created by your use of the Site or our general advisory services.

Job Finder and recruitment services. Job Finder provides placement and recruitment services in accordance with applicable British Columbia recruitment licensing requirements. Our current license status is available on request at consultary@cansulthub.com.

Capital Connect is not securities or investment advice. CansultHub is not a securities dealer, portfolio manager, or registered investment adviser under the Securities Act (British Columbia) or any equivalent legislation. Capital Connect facilitates introductions and provides general business advisory support related to capital raising; it does not recommend buying, selling, or holding any security, and you should not rely on anything in Capital Connect as investment advice. You are responsible for obtaining independent legal, tax, and financial advice before making any investment decision.

ImmiAgent and immigration-adjacent content. ImmiAgent and any immigration-related content on the Site are educational tools only and do not constitute immigration advice or representation before Immigration, Refugees and Citizenship Canada (IRCC) or any other immigration authority. Regulated immigration advice is provided exclusively by licensed professionals through our sister platform or the Advisory Panel's LexHub network, under a separate, direct engagement with that professional.

Learning Pod courses and programs. Certain Learning Pod and Startup Accelerator programs are offered under CansultHub's registration with the applicable British Columbia private training authority. A separate Student Enrolment Contract governs enrollment in these programs and sets out mandatory disclosures, cancellation rights, and refund terms required under British Columbia's private training legislation. If the Student Enrolment Contract and these Terms conflict for a specific program, the Student Enrolment Contract governs.

Advisory Panel connects clients with independent third-party professionals (including but not limited to lawyers, accountants, and impact/ESG advisors) through our LexHub, ProfNetwork, and ImpactOrg networks. These professionals are independent contractors or independent practices, not employees or agents of CansultHub. Any engagement you enter into with a panel professional is a separate, direct relationship between you and that professional, governed by that professional's own terms, and CansultHub is not a party to it and is not responsible for the advice, services, or conduct of any panel professional.

Our Compass evaluation form is a diagnostic tool used to route your inquiry to the appropriate service package and prepare for an initial consultation. Completing the Compass form does not create an engagement, does not guarantee acceptance into any program, and does not obligate CansultHub to provide services until both parties sign a separate engagement letter, advisory agreement, or enrolment contract.

• Provide accurate, complete, and current information when engaging our services or completing the Compass form or Contact form
• Obtain independent legal, tax, immigration, or financial advice where appropriate, and before relying on any general guidance we provide
• Comply with all applicable laws in connection with your use of our services, including securities, employment, and immigration law
• Keep confidential any non-public information shared with you in connection with an engagement, where applicable

Fees for each service package are quoted individually following your Compass evaluation and initial consultation, and are set out in your engagement letter or invoice.

Payment methods: Stripe (credit/debit, CAD and USD). For larger retainers, advisory packages, or program tuition, wire transfer is available by arrangement.

Cancellation and refund policy: Consultations and add-on sessions (Strategic Session, Comprehensive Session, and sessions with an expert or lawyer present) may be rescheduled or canceled for a full credit toward a future session with at least 48 hours' notice before the scheduled time. Fees for sessions delivered, or canceled with less than 48 hours' notice, are non-refundable. Advisory Package and Retainer fees follow the cancellation terms set out in your specific engagement letter. Learning Pod and Startup Accelerator programs registered under the BC private training regime are subject to statutory minimum refund requirements set out in the Student Enrolment Contract, which these Terms cannot shorten.

Late payment: Invoices are due within 30 days of issuance. Amounts unpaid after 45 days may be subject to a late fee of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted by law, whichever is lower.

Each party agrees to keep confidential any non-public business, financial, or personal information disclosed by the other party in connection with an engagement, and to use it only for the purposes of that engagement, except where disclosure is required by law or with the disclosing party's consent. This section survives termination of any engagement.

All content on the Site — including text, graphics, logos, course materials, frameworks, and the Compass evaluation tool — is owned by or licensed to CansultHub and is protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Site content without our prior written consent, except for your own personal or internal business use in connection with an active engagement.

You agree not to: (a) use the Site for any unlawful purpose; (b) misrepresent your identity or business when engaging our services; (c) attempt to access non-public areas of the Site or interfere with its operation; or (d) use any content or output of our services (including ImmiAgent) to facilitate fraud, misrepresentation to a government authority, or violation of any applicable law, including sanctions and export control laws.

The Site and our general advisory services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of accuracy, completeness, merchantability, or fitness for a particular purpose. We do not guarantee any particular business, financial, immigration, or employment outcome from your use of our services.

To the maximum extent permitted by law, CansultHub's total liability to you arising out of or relating to these Terms or any engagement will not exceed the fees paid by you to CansultHub for the specific service giving rise to the claim in the 12 months preceding the claim. In no event will CansultHub be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, or loss of data, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under British Columbia or Canadian law.

You agree to indemnify and hold CansultHub, its directors, officers, employees, and panel professionals harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or your violation of any law, including immigration or sanctions law, in connection with information or services provided by CansultHub.

We may suspend or terminate your access to the Site or any engagement if you breach these Terms, engage in fraudulent or unlawful conduct, or if continuing the engagement would expose CansultHub to legal or regulatory risk. You may terminate an active engagement under the terms of your specific engagement letter or enrolment contract.

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of our services will be subject to the exclusive jurisdiction of the courts of British Columbia, unless the parties agree in writing to an alternative dispute resolution process.

We may update these Terms from time to time to reflect changes in our services or applicable law. We will post the updated Terms on the Site with a revised "Last updated" date. Continued use of the Site or our services after an update constitutes acceptance of the revised Terms.
